ComQi EnGage ™ Acceptable Use Policy:

ComQi wants to ensure that your Service experience and the experiences of customers and end users is a positive one, and that all applicable laws are adhered to.

To that end, we have created this Acceptable Use Policy ("AUP") to set forth certain rules that govern your use of the EnGage ™ Service. You are contractually obligated to abide by this AUP when using the EnGage ™ Service and to ensure that others whom you permit to access the EnGage ™ Service likewise comply. Your failure to do so may result in the immediate suspension or termination of your right to access or use the Service. Additionally, if your use of the Service is deemed unacceptable, unlawful or in violation of this AUP, you shall indemnify ComQi for any and all expenses, costs or fees incurred as a result of such use.

Lawful Use
You must use the EnGage ™ Service in strict accordance with all applicable laws, ordinances and regulations. You may not use the EnGage ™ Service to assist any other person or entity to violate any laws, ordinances or regulations. For example, prohibited activities may include but are not limited to: transmittal of any material that violates any applicable law, intentionally spreading computer viruses, gaining or attempting to gain unauthorized access to any network, including ComQi’s private network infrastructure, conducting or participating in illegal gambling, soliciting for "pyramids" or other illegal schemes.

Third Parties
You must not use the EnGage ™ Service in any manner that infringes upon the rights of any third party, including but not limited to intellectual property rights or publicity rights (e.g., the unauthorized reproduction, distribution or misappropriation of copyrighted material, such as downloading software, music and video files or audio sounds and video images). You must not use the EnGage ™ Service in a manner that will disrupt third parties' use or enjoyment of any communications services or outlet, by for example, transmitting any harmful, threatening, offensive, fraudulent, sexually explicit or racially objectionable communication or content. You must not use the EnGage ™ Service to invade the privacy of third parties by, for example, gathering electronic mail addresses, passwords, or other personal contact information of others without their express consent.

Third Party Rules
The use of any software or data in connection with or through the EnGage ™ Service must be in accordance with any applicable license agreements.

ComQi’s Review of Content
ComQi does not monitor the EnGage ™ Service to examine content transmitted through it or stored by users on it. However, if ComQi is made aware of content that, in ComQi’s sole discretion, violates this AUP, national, local, state, provincial or federal laws, ComQi has the right, but not the obligation, to edit, remove or deny access to such content.

When necessary to properly operate the EnGage ™ Service, to protect ComQi’s rights or the rights of third parties, or as may be required by law, regulation, government agency or Court Order, ComQi may electronically monitor the EnGage ™ Service. ComQi may disclose content or records concerning your account as required to satisfy any law, regulation, governmental request or court order.

Subscribers agree to make reasonable efforts to respond to any request by a government agency, copyright holder or its agents, or industry association regarding alleged violations of federal, state or local laws. Subscriber’s failure to respond to such a request may result in suspension or termination of Service, if ComQi determines, in its sole discretion, that Subscriber’s alleged actions violate this AUP.

Bandwidth & Data Storage
Subscribers will be provided with file storage space as described in their license agreement with ComQi. In order to prevent usage that may impact other customers, ComQi may, at its discretion, include a limitation on the amount of downstream data throughput, meaning from the EnGage ™ server out to the client Equipment. In the event that ComQi elects to incorporate this limitation, and your usage then exceeds the maximum, ComQi may, at its discretion, either: provide you an option to purchase additional throughput; reduce the transmission speed for Service until the beginning of the next month; or limit or suspend Service until the beginning of the next month. You will be notified prior to any action being taken.

Security
ComQi recommends employing security measures to prevent or minimize unauthorized use of your computer or your EnGage ™ account. Recommended measures include (a) altering your user password frequently, and in any case, every three months; (b) keeping your password carefully guarded; (c) not storing passwords locally on your computer. ComQi is not responsible for the unauthorized access of your computer or the unauthorized use of your account.

Modifications & No Waiver
ComQi reserves the right to modify this AUP as circumstances warrant. Any modification is effective immediately upon notice to you via electronic mail. ComQi’s failure to enforce a provision of this AUP does not constitute a waiver or in any way restrict its ability to enforce that provision in another instance.

Reporting Violations
ComQi encourages the reporting of any violations of this AUP by contacting your customer support team with a detailed description of the alleged violation.
